It's very unlikely that they will pay close to 770M, as that number is contingent on hitting a bunch of sales targets. It's probably a lot less. Ecobee hadn't released a new device in two years, and Nest continues to dominate market share, and when Amazon released their own $60 thermostat, it was clear a sale to Amazon was off the table.

They probably couldn't raise a new round of funding, so a sale makes sense. I don't thimk it will get killed, but don't expect much from them anymore.

We use to service their Generators, if they are anything like they are with that division, you can kiss that API good by.

They have tight control over everything they are involved in. They have a real problem with anything that is remotely close to "right to repair"
